Terms of Service

1. Acceptance of Terms
By accessing this website or engaging Sanghaya Labs for any service, you agree to be bound by these Terms of Service. If you do not agree, please do not use our services.
2. Services
Sanghaya Labs provides software consultancy services including custom software development, ERP implementation, cloud architecture, systems integration, and data migration. The specific scope of any engagement is defined in the engagement proposal and approved technical specification agreed before implementation begins.
3. Payment
Payment terms are outlined in the project agreement. Unless otherwise agreed in writing, payment is due upon completion of the agreed deliverable. Late payments may result in a pause of work.
4. Intellectual Property
Upon receipt of full payment, all custom work created for you becomes your property. Sanghaya Labs retains the right to display the work in its portfolio unless otherwise agreed. Any third-party tools, libraries, or assets used are subject to their respective licenses.
5. Revisions and Scope
Work within the approved scope is included. Requirements falling outside it are identified, explained, and re-estimated in writing, and are only started once you have approved the revised estimate. Out-of-scope work is never carried out and billed retrospectively.
6. Limitation of Liability
Sanghaya Labs is not liable for any indirect, incidental, or consequential damages arising from the use of our services. Our total liability shall not exceed the amount paid for the specific service giving rise to the claim.
7. Confidentiality
Both parties agree to keep confidential any non-public information shared during the engagement. We will not disclose your business information to third parties without your consent.
8. Termination
Either party may terminate a project with written notice. Work completed up to the point of termination is billable at the agreed rate. Deposits or payments already made are non-refundable unless otherwise agreed.
9. Governing Law
These terms are governed by applicable law. Any disputes will be resolved through good-faith negotiation before pursuing formal legal action.
